These Terms of Service (“Terms”) govern your access to and use of the Apex Payments website at apexpayments.ai and any forms or applications you submit through it (the “Site”). The Site is operated by Apex Payments (“Apex,” “we,” “us”). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.
The service
The Site is an informational and lead-intake website. Submitting an application does not create a merchant account or guarantee approval. Any merchant card-processing services are provided only after approval and are governed by a separate merchant agreement between you and Apex and/or our sponsoring bank and processor. If those terms conflict with these Terms for processing services, the merchant agreement controls.
Eligibility
You must be at least 18 years old and authorized to act on behalf of the business you represent. You agree that all information you provide is accurate, current, and complete, and that you will keep it updated.
Applications and submissions
When you submit the application or contact form, you authorize us and our partners to use the information to evaluate, underwrite, and (if approved) set up and service your account, and to verify the information with third parties as described in our Privacy Policy. Approval is subject to underwriting and card-network rules and may be declined at our discretion.
Acceptable use
You agree not to:
- Use the Site for any unlawful, fraudulent, or harmful purpose.
- Submit false, misleading, or unauthorized information.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Site or its systems.
- Copy, scrape, or reuse Site content except as permitted below.
Intellectual property
The Site, including its content, design, logos, and trademarks, is owned by Apex or its licensors and is protected by law. We grant you a limited, revocable, non-exclusive license to view the Site for evaluating our services. All other rights are reserved.
Third-party services
The Site uses third-party services, including hosting, analytics, and an AI assistant (“Talk to Apex”) that may process your messages to respond to you. Your use of those features may be subject to the third parties' own terms.
Disclaimers
The Site is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure. Information on the Site is for general purposes and is not legal, financial, or tax advice.
Limitation of liability
To the fullest extent permitted by law, Apex and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
Indemnification
You agree to indemnify and hold harmless Apex and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your use of the Site or your violation of these Terms.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to arbitration.
Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted here, and the “Last updated” date above will reflect the latest version. Your continued use of the Site means you accept the updated Terms.
